MUR - Murray & Roberts - Results Of Annual General Meeting And Change In Directorate MURRAY & ROBERTS HOLDINGS LIMITED (Incorporated in the Republic of South Africa) Registration number 1948/029826/06 JSE Share Code: MUR ISIN Code: ZAE000073441 ("Murray & Roberts" or "the Group") RESULTS OF ANNUAL GENERAL MEETING AND CHANGE IN DIRECTORATE Results of annual general meeting Shareholders are advised that the ordinary and special resolutions proposed at the annual general meeting of the company held today Tuesday, 28 October 2008, were approved by the requisite majorities. A copy of the special resolution will be lodged with the Registrar of Companies for registration as required by the Companies Act 61 of 1973, as amended, in due course. A business update was read out at the meeting, a copy of which has been released on SENS. Change in directorate Non-executive director, Mr Martin Shaw has reached the mandatory retirement age for directors and retired from the board of directors of Murray & Roberts ("board") at the annual general meeting. Non-executive director, Mr Boetie van Zyl, also retired from the board at the annual general meeting prior to reaching the mandatory retirement age for directors. Executive director, Keith Smith today retired from the board in order to focus on his operational roles. Keith will continue his employment in the Group as executive chairman of Murray & Roberts Construction, and retains his chairmanship of Concor. The board wishes to thank Messrs Martin Shaw, Boetie van Zyl and Keith Smith for their important contributions over the past number of years.
