RESIGNATION OF DIRECTOR                                                         
Shareholders are advised that Richard Inskip, the executive director of         
financial services and operations, has resigned as a director from Woolworths   
Holdings and Woolworths (Proprietary) Limited "Woolworths" with effect from the 
close of business on 31 May 2008.                                               
Richard joined the group in 1991 and was appointed to the board of Woolworths   
Holdings in 2001. During his seventeen years of services he was responsible for 
a number of key portfolios including information technology, human resources,   
strategy, supply chain and financial services.                                  
Woolworths has recently concluded a Joint Venture arrangement between Woolworths
Financial Services and ABSA and as a result, Richard has decided that this is an
appropriate time for him to resign from the board.                              
Richard led the team which negotiated the arrangement with ABSA and will        
continue to serve on the Woolworths Financial Services board and will ensure    
that the transaction is successfully completed.                                 
The board would like to thank Richard for his significant contribution to the   
group, most notably the modernisation of our infrastructure and supply chain to 
cater for the future growth of Woolworths. His key achievements included the    
implementation of our Retek stock management systems and and the development of 
our award winning R300 million Midrand distribution centre in Gauteng.          
The board wishes Richard the best in his future endeavours and is delighted that
they will continue to benefit from his knowledge and experience as a director of
Woolworths Financial Services.                                                  
Zyda Rylands, the current director of people and transformation, has been       
appointed Chief operating officer : Support services which includes supply      
chain, IT and strategy, in addition to her existing portfolio.                  
Zyda`s contribution to the people and transformation portfolios has been        
substantial and we look forward to her bringing this excellence and quality to  
her new role.
