CHANGE TO THE BOARD OF DIRECTORS                                                
In compliance with paragraph 3.59 of the Listings Requirements of JSE Limited,  
the board of directors of Conduit Capital hereby notifies its shareholders that 
Mr Robert L Shaw has resigned as an executive director with effect from 29      
February 2008. Robert will remain as a non-executive director on the boards of  
Conduit Risk and Insurance Holdings (Proprietary) Limited ("CRIH"), the holding 
company of the group`s insurance interests, as well as numerous subsidiary and  
associate companies within the CRIH group.
