SHF - Steinhoff - Announcement STEINHOFF INTERNATIONAL HOLDINGS LIMITED (Incorporated in the Republic of South Africa) (Registration no. 1998/003951/06) Ordinary share code: SHF ISIN: ZAE000016176 (Steinhoff or the company) Announcement ZAR1 000 000 000 Senior Unsecured Guaranteed Fixed Rate Notes due 21 November 2012 (UTR02 Notes) and despatch of 2007 Annual Report Note Issue Shareholders are advised that Steinhoff, acting through its wholly-owned subsidiary, Unitrans Services (Proprietary) Limited, has successfully procured the raising of R1 000 000 000 (ZAR 1 billion) in the form of Senior Unsecured Fixed Rate Notes, bearing interest semi-annually at a fixed rate of 10,49% p.a. and redeemable on 21 November 2012 (the UTR02 Notes). Settlement is scheduled to occur on 21 November 2007 and the UTR02 Notes will be listed on the Bond Exchange of South Africa with effect from 21 November 2007. The proceeds raised pursuant to the issuance of the UTR02 Notes will ultimately be used to redeem and, effectively, re-finance the existing ZAR 1 billion Senior Unsecured Guaranteed Registered Bonds due 28 February 2008 (SHF01). FirstRand Bank Limited acted as Arranger and Dealer to the UTR02 Notes issue. Annual Report and Annual General Meeting (AGM) Shareholders are further advised that the Annual Report of Steinhoff for the year ended 30 June 2007, including Notice of the AGM, will be dispatched to shareholders on 16 November 2007. The AGM is scheduled to be held at 10:00 on Monday, 10 December 2007 at the registered office of the company, 28 6th Street, Wynberg, Sandton.
