CAUTIONARY ANNOUNCEMENT                                                         
Rolfes shareholders are advised that Rolfes is involved in negotiations and     
has entered into a heads of agreement. This potential transaction is, in the    
opinion of the directors, of a strategic nature within the pigment dispersion   
industry, albeit small in size from a transaction categorisation perspective,   
if successfully concluded, may have a material effect on the company`s share    
price.                                                                          
Rolfes shareholders are accordingly advised to exercise caution in dealing in   
their shares until a further announcement is made.
