CAUTIONARY ANNOUNCEMENT                                                     
                                                                                
    Shareholders are advised that Labat and Labat Traffic Solutions             
    (Proprietary) Limited ("LTS"), being an unlisted subsidiary of Labat, have  
reached agreement with Mvelaphanda Holdings (Proprietary) Limited ("Mvela") 
    on behalf of a broad based consortium, in terms of which Mvela will acquire 
    a stake in LTS and in terms of which Labat will increase its own stake in   
    LTS. Thereafter the parties are contemplating a separate listing of LTS.    
Accordingly, shareholders are advised to exercise caution when dealing in   
    Labat shares on JSE Limited until a further announcement is made.
