VOLUNTARY OFFER BY PSG GROUP LIMITED TO ALL CAPITEC BANK HOLDINGS LIMITED       
("CAPITEC") SHAREHOLDERS                                                        
Shareholders are referred to the PSG announcement on SENS on Friday, 11 May     
2007 and the offer document posted to Capitec shareholders on Monday, 14        
May 2007, in which PSG made a voluntary offer to all Capitec                    
shareholders("the offer").                                                      
Capitec shareholders are reminded that the implementation of the offer is       
subject to the approval of the South African Reserve Bank ("SARB") by 15        
June 2007, as set out in the offer document to Capitec shareholders issued      
on 14 May 2007("offer document").                                               
PSG has applied to the SARB to obtain the required approval in terms of the     
offer, but has not yet received such formal approval.                           
As a result thereof, and as set out in the offer document, PSG hereby           
extends the fulfilment date of the suspensive condition until the earlier       
of Monday, 2 July 2007 or until such response from the SARB has been            
received.                                                                       
A further announcement will be made to shareholders as soon as the above        
mentioned suspensive condition has been met or not.
