POSTING OF CIRCULAR AND NOTICE OF GENERAL MEETING                               
Shareholders are advised that a circular has been posted to shareholders today  
regarding the adoption of the Woolworths Share Appreciation Rights Scheme, the  
Woolworths Long Term Incentive Plan and the Woolworths Deferred Bonus Plan as   
well as the amendment to the Woolworths Holdings Share Trust to incorporate     
these new schemes("the circular").                                              
Notice is hereby given that the general meeting of Woolworths shareholders will 
be held at Woolworths House, 93 Longmarket Street, Cape Town, 8001 on Wednesday,
15 November 2006 at 10h00 to transact the business as stated in the general     
meeting notice forming part of the circular.
