Reason for sale:                                                                
Pursuant to the scheme of arrangement proposed by Netcare in terms of section   
311 of the Companies Act, No. 61 of 1973 ("Companies Act"), as amended, between 
Netpartner and its shareholders, other than Netcare and its subsidiaries ("the  
scheme"), which became operative on Tuesday, 26 September 2006, the             
abovementioned Directors of the Company have disposed of Netcare shares in order
to finance their obligations to Netcare with regard to the acquisition of       
Netcare shares pursuant to the scheme, as reported on SENS on 27 September 2006.
