SANCTIONING OF THE SCHEME OF ARRANGEMENT Sanctioning of the scheme Further to the announcement dated Wednesday, 30 August 2006, Netpartner shareholders are advised that the scheme of arrangement proposed by Netcare in terms of section 311 of the Companies Act, No. 61 of 1973, as amended ("the Companies Act"), between Netpartner and its shareholders, other than Netcare and its subsidiaries ("the scheme"), was sanctioned by the High Court of South Africa (Witwatersrand Local Division) ("the Court") on Tuesday, 12 September 2006. Conditions precedent Netpartner shareholders are further advised that the remaining condition precedent, being the registration of a certified copy of the Order of Court sanctioning the scheme by the Registrar of Companies, has been met and the scheme is now unconditional. Salient dates and times The salient dates and times as set out in the announcement dated Wednesday, 30 August 2006 will remain unchanged. Netpartner shareholders are reminded that the last day to trade in Netpartner shares on the Barnard Jacobs Mellet Securities (Proprietary) Limited over-the-counter market ("OTC market") in order to be recorded in the register on the record date for the scheme will be Friday, 15 September 2006. Trading of Netpartner shares on the OTC market will be suspended from close of trade on Friday, 15 September 2006. The trading of Netpartner shares on the OTC market will be terminated on the close of trade on Friday, 22 September 2006. The operative date of the scheme will be Tuesday, 26 September 2006.
