SCHEME OF ARRANGEMENT                                                           
Illovo shareholders are referred to the announcements released on SENS on 12    
July and 8 August 2006 relating to the scheme of arrangement proposed by ABF    
between Illovo and its shareholders, in terms of which ABF will acquire 51% of  
the fully diluted ordinary share capital of Illovo ("the scheme") and are       
advised that the High Court of South Africa (Durban and Coast Local Division)   
granted an order sanctioning the scheme on Wednesday, 23 August 2006 ("the Order
of Court").                                                                     
A certified copy of the Order of Court will be lodged for registration with the 
Registrar of Companies and it is expected that it will be registered on Monday, 
28 August 2006.                                                                 
Accordingly, there are no changes to the salient dates and times that were      
previously published and the scheme will become operative on Monday, 4 September
2006.
