MTN GROUP SHAREHOLDERS APPROVE RESOLUTIONS REQUIRED FOR THE PROPOSED OFFER WITH 
SHAREHOLDERS OF INVESTCOM LLC ("INVESTCOM")                                     
Shareholders are advised that all the resolutions relating to the proposed offer
by MTN Group to Investcom shareholders to acquire the entire issued share       
capital of Investcom ("Investcom Offer"), proposed at the general meeting of MTN
Group shareholders held on Tuesday, 27 June 2006, were passed by the requisite  
majority of shareholders.                                                       
Shareholders are further advised that an application will accordingly now be    
submitted to the JSE Limited for the listing of a maximum of 204,298,809 new MTN
Group ordinary shares in respect of the Investcom Offer.                        
Further announcements will be made in due course in relation to the fulfillment 
or waiver of the remaining conditions to which the Investcom Offer is subject.
