LEVERAGED BONUS SCHEME                                                          
In terms of paragraph 3.63 - 3.65 of the Listings Requirements of JSE Limited   
("JSE Listings Requirements"), the following transactions, in respect of which  
prior written approval pursuant to paragraph 3.66 of the JSE Listing            
Requirements has been obtained, are hereby disclosed -                          
On 25 February 2005, Netcare announced the implementation of a Leveraged Bonus  
Scheme which resulted in the following effects on 31 May 2006, pertaining to the
undermentioned Directors of the Company relating to the shareholding reflected -
a)   Nature of Transaction - Automatic cash settlement of European style call   
     options - strike price 592 cents per share and cash settlement at VWAP     
price of 977 cents per share -
