MTN Group Limited - MTN"s new Independent Non-Executive Directors to reflect company"s multinational focus MTN Group Limited (Incorporated in the Republic of South Africa) (Registration number 1994/009584/06) Share code: MTN ISIN: ZAE000042164 MTN"s new Independent Non-Executive Directors to reflect company"s multinational focus The MTN Group is pleased to announce the proposed appointment of six Independent Non-Executive Directors to its Board of Directors. The new appointees are Mr Peter Woicke (Germany), Dr Christopher Kolade (Nigeria), Dr Mamphela Ramphele (South Africa), Ms Koosum Kalyan (South Africa), Mr Johnson Njeke (South Africa) and Sheik Abduragman Sharbatley (Saudi Arabia). The international expansion of the MTN Group and its geographical scope of business has prompted the Group to review its Board composition and management operating structures. Subject to shareholder approval, with effect from 13 June 2006, the reconstituted MTN Group Limited Board of directors will comprise: Mr Cyril M Ramaphosa (Chairman), Mr Phuthuma F Nhleko (President and CEO), Mr Sifiso Dabengwa (Chief Operating Officer), Mr Robert Nisbet (Chief Financial Officer) ), Mr Peter Woicke, Dr Christopher Kolade, Dr Mamphela Ramphele, Ms Koosum Kalyan, Mr Johnson Njeke and Sheik Abduragman Sharbatley, Mr Jan Strydom, Mr Alan van Biljon, Mr Doug Band and Ms Moira Moses. Messrs Paul Heinamann and Zithulele Cindi will shortly be retiring from the MTN Group Board, thereafter to serve as Non-Executive Directors on Mobile Telephone Networks Pty Limited (MTN South Africa), which will be chaired by Mr Heinamann. Mesdames Irene Charnley and Santie Botha will also retire from the MTN Group Board to focus on certain key regional boards and other operational responsibilities. The MTN Group Board will also support MTN"s new operating and reporting structure, which will comprise three regional focus areas - Southern Africa, West / Central Africa and Middle East / East Africa. Mrs Irene Charnley and Mr Christian De Faria have been appointed as regional Vice Presidents responsible for Middle East/ East Africa and West Africa, respectively. A third Vice President, whose appointment will be confirmed shortly, will be responsible for the Southern Africa region. It is likely that there would be further additions to the MTN Group Board and operational structure, upon the unconditional closing of the transaction that the MTN Group has entered into with Investcom LLC. Brief resumes of the six Independent Non-Executive Directors are attached. --- ends --- Ms Koosum Kalyan (B Comm (Law) (Hons Economics) from University of Durban- Westville and a Senior Executive Management Programme from the London Business School (1997)) Ms Kalyan is currently based in London and is Senior Business Development Manager, Shell International Exploration. Prior to joining Shell, she was Senior Economist at the Chamber of Mines of South Africa and has been an economist at the Electricity Commission of Victoria Melbourne Australia. Other directorships include the South African Business Trust, South African Bank Note Company of the South African Reserve Bank, South African Mint Company of the South African Reserve Bank and the UK/SA Business Initiative London. Mr Peter L Woicke (Dipl Kaufmann, Universitat des Saarlandes, Saarbrucken, Germany - (1969); expertise in financial services (investment banking) and operational and strategic leadership of business in Europe, Asia, Latin America and the USA) Mr Woicke currently resides in the US and was Managing Director - International Finance Corporation (IFC) of the World Bank in Washington DC from 1999 to 2005. He has held various positions including, among others, President of IFC in Washington DC, Managing Director and Chief Executive of JP Morgan Asia Pacific, Executive Manager of JP Morgan & Company Inc. He serves on the boards of Anglo American PLC, Plug Power Inc., Raiffeisen International Bank Holding AG, International Youth Foundation and is on the Board of Trustees, Ashesi University Accra, Ghana. Mr MJ Njeke (B Comm, B Compt (Hons) CA (SA) - University of Fort Hare; H Dip Tax (RAU)) Mr Njeke is the Managing Director of Kagiso Trust Investment Company in South Africa. He was previously Partner at PricewaterhouseCoopers and is a past Chairman of the South African Institute of Charted Accountants. He is on the boards of Mittal Steel, Metropolitan Holdings, NM Rothschild (SA) and Resilient Property Income Fund. He is the Chairman of the South African Institute of Chartered Accountants Education Committee. Dr M Ramphele (B Com (Unisa), MBCHB (Natal), PHD (Cape Town)) Dr Ramphele is currently the Executive Chairman of Circle Capital Ventures. She was previously the Managing Director:Human Development, World Bank (Washington DC). Before joining the World Bank, she was the Vice Chancellor of the University of Cape Town. She holds other directorships at Standard Bank Group Ltd, Standard Bank of South Africa Ltd, the Nelson Mandela Foundation, the Nelson Mandela Children"s Trust and the Rockefeller Foundation. Sheik AH Sharbatley Sheik Sharbatley is currently the Director of Riyad Bank in Saudi Arabia, Saudi Company for Hardware, Marketing Services and Commercial Projects Operation Company, Saudi Arabian Refinery Company and South Valley Cement factory. He is also the Chairman of Arabian International Corporation, Saudi Arabian Marketing and Agencies Company Limited and Golden Pyramids Plaza Company. Dr Christopher Kolade (BA (Durham) (1954), DipEd (1955), Order of St. Augustine, conferred by the Archbishop of Canterbury (1981), Honorary Doctorate in Civil Law conferred by the University of Sierra Leone (1976)) Dr Kolade is currently based in the United Kingdom and is the Founder and Chairman of Managing Business for Christ Ltd. Formerly the Executive Chairman of Cadbury Nigeria, Dr Kolade has served as an Education Officer in the Ministry of Education, Western Region of Nigeria. He is a member of the International Institute of Communications and the World Association for Christian Communication, which are both based in London.
