FURTHER CAUTIONARY ANNOUNCEMENT                                                 
Illovo  shareholders are referred to previous cautionary announcements published
on  14  February 2006, 10 March 2006 and 15 March 2006, relating to two separate
proposals to purchase a majority, but not all, of the shares of the company.    
Shareholders are now advised that discussions with Tereos, Union de Cooperatives
Agricoles ("Tereos") have been terminated as the parties were unable to agree  a
number  of material issues including the swap ratios for the transfer of Tereos"
sugar assets to Illovo.                                                         
Shareholders  are further advised that the company is still in discussions  with
Associated British Foods plc in relation to its proposal, which may result in  a
partial offer for Illovo.  A further announcement in this regard is expected  to
be made soon.                                                                   
Accordingly,  Illovo  shareholders are advised to continue to  exercise  caution
when dealing in the company"s shares until the further announcement is made.
