Growthpoint Properties Limited - Results Of General Meeting GROWTHPOINT PROPERTIES LIMITED (Incorporated in the Republic of South Africa) (Registration number 1987/004988/06) Share code: GRT ISIN: ZAE000037669 ("Growthpoint") RESULTS OF GENERAL MEETING 1. Introduction A general meeting of Growthpoint linked unitholders was held on Monday, 10 April 2006 ("the Growthpoint general meeting") to consider and, if deemed fit, to pass the ordinary resolution relating to the proposed acquisition ("the proposed acquisition") of a portfolio of properties from Tresso Trading 119 (Proprietary) Limited ("portfolio of properties"); a special resolution to increase the authorised share capital of Growthpoint; an ordinary resolution to place the unissued authorised share capital under the control of the directors of Growthpoint and an ordinary resolution to authorise the issue of linked units for cash as and when suitable situations arise. Investec Bank Limited is authorised to announce that the following resolutions were duly passed at the Growthpoint general meeting by the requisite majority of Growthpoint linked unitholders: - the proposed acquisition of the portfolio of properties was passed by 89.74% of Growthpoint linked unitholders who voted on this resolution; - the increase of the authorised share capital of Growthpoint was passed by 100% of Growthpoint linked unitholders who voted on this resolution; and - placement of the unissued authorised share capital under the control of the directors of Growthpoint was passed by 71.61% of Growthpoint linked unitholders who voted on this resolution. The ordinary resolution to authorise the issue of linked units for cash, which required at least 75% of the vote in favour of the resolution, was supported by 71.68% of Growthpoint linked unitholders who voted on this resolution. Accordingly, this resolution was not passed. The special resolution will be lodged with the Registrar of Companies for registration. 2. Remaining condition precedent The proposed acquisition now remains subject only to approval by the Competition Authorities. A further announcement will be made by Growthpoint once the remaining condition precedent has been fulfilled.
