RETIREMENT OF CHAIRMAN                                                          
In compliance with rules 3.59 (b) of the Listings Requirements of JSE Limited   
("the JSE"), the following information is disclosed:                            
On closure of Oceana Group Limited"s AGM on 09 February the company"s Chairman, 
Mr DMJ Ncube announced his retirement as a director with effect from that date. 
Mr Ncube had served as a director, and chairman of the company, for over 11     
years.  He was appointed in December 1994 when Oceana pioneered BEE             
transformation in the fishing industry.  A consortium of black businesses and   
individuals, led by Real Africa Holdings Limited in partnership with Tiger      
Brands Limited acquired 50,1% of Oceana"s issued share capital, which included  
joint management control, through Ocfish Holding Company Limited.               
Mr Ncube"s fellow directors expressed their sincere appreciation for his        
committed leadership and support for Oceana during his term of office.  In      
valedictory remarks Mr Ncube said his service with Oceana had been stimulating  
and rewarding.  He would be directing his energies more intensively in the      
future to mineral resources and mining.                                         
Upon the recommendation of the company"s Remuneration and Nominations Committee 
the directors have elected Mr Mustaq Ahmed Brey as Chairman of the company, in  
succession to Mr Ncube.  Mr Brey was appointed a director of the company in     
November 1995 and has extensive business interests in the Western Cape and      
country as a whole, being inter alia CEO of Brimstone Investment Corporation    
Limited.
