RESULTS OF ANNUAL GENERAL MEETING                                               
Shareholders are advised that, at the annual general meeting of MTN Group Ltd   
held on 10 August 2005, all the resolutions set out in the Notice of Annual     
General Meeting dated 9 June 2005 (which formed part of the 2005 Annual Report  
posted to shareholders on 18 July 2005), were passed by the requisite majority  
of shareholders present or represented by proxy. The special resolution will be 
submitted for registration at the Register of Companies in due course.
