NO CHANGE STATEMENT AND NOTICE OF ANNUAL GENERAL MEETING                        
Shareholders are advised that the company"s annual financial statements for the 
year ended 31 March 2005 were posted to shareholders and contain no             
modifications to the audited results that were published in the provisional     
report on 29 June 2005. PricewaterhouseCoopers Inc. audited the results         
contained in the provisional report and the annual financial statements of      
Naspers and their reports are available for inspection at the registered office 
of the company.                                                                 
The notice of the annual general meeting will be posted to shareholders today,  
Thursday 4 August 2005, and notice is hereby given that the ninety-first annual 
general meeting of the company will be held at 11:15 on Friday 26 August 2005,  
on the 18th Floor of the Naspers Centre, 40 Heerengracht in Cape Town, South    
Africa to transact business as stated in the notice of the annual general       
meeting.
