WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT                                           
Reference is made to the announcements dated 18 April, 22 April and 9 May 2005  
in respect of legal proceedings in the English High Court against Celtel        
International B.V. and Dr Mohammed Ibrahim, whereby MTN obtained disclosure of  
certain information and documents. The board of directors of MTN has resolved   
that it is in MTN"s long-term best interests not to pursue further legal        
proceedings at this stage. Accordingly, shareholders are no longer required to  
exercise caution when dealing in MTN securities.
