NO CHANGE STATEMENT AND NOTICE OF ANNUAL GENERAL MEETING                        
Shareholders are advised that the annual financial statements of the group for  
the year ended 31 December 2004 will be posted to shareholders on 25 April 2005 
and contain no modifications to the audited results which were published on 9   
March 2005. PricewaterhouseCoopers Inc and KPMG audited the results and the     
annual financial statements of the group and their reports are available for    
inspection at the registered office of Standard Bank Group. An online version of
this report will be available on our website www.standardbank.co.za from close  
of business on Monday 25 April 2004.                                            
Notice of Annual General Meeting                                                
Notice is hereby given that the 36th Annual General Meeting of Standard Bank    
Group shareholders will be held at Standard Bank Centre on Wednesday 25 May 2005
at 09:30 to transact the business stated in the notice of the Annual General    
Meeting, which was issued together with the annual report containing the annual 
financial statements of the group for the year ended 31 December 2004.
