RESULTS OF GENERAL MEETING                                                      
1. Introduction                                                                 
A general meeting of Growthpoint linked unitholders was held on Tuesday, 22     
March 2005 ("the Growthpoint general meeting") to consider and approve an       
ordinary resolution  ("the resolution") relating to the proposed acquisition    
("the proposed acquisition") of a portfolio of properties from Tresso Trading   
119 (Proprietary) Limited.                                                      
Investec Bank Limited is authorised to announce that the resolution was duly    
passed at the Growthpoint general meeting by the requisite majority of          
Growthpoint linked unitholders.                                                 
2. Remaining condition precedent                                                
The proposed acquisition remains subject to approval by the Competition         
Authorities.  A further announcement will be made by Growthpoint once the       
remaining condition precedent has been fulfilled.
