With regard to the audited results for the year ended 30 June 2004, shareholders
are advised that the annual financial statements have been distributed to       
shareholders on 30 September 2004 and contain no modifications to the audited   
results which were published on SENS on 19 August 2004.                         
The annual financial statements were audited by Ernst and Young and SAB&T Inc.  
Their report is available for inspection at the Company"s registered office.    
Notice of the annual general meeting                                            
Notice is hereby given that the 2004 annual general meeting of Woolworths       
shareholders will be held in the Auditorium, 1st Floor, Woolworths House, 93    
Longmarket Street, Cape Town, 8001 on Thursday, 4 November 2004 at 09:00 to     
transact the business as stated in the annual general meeting notice forming    
part of the annual financial statements.
