RESULTS OF ANNUAL GENERAL MEETING AND CHANGES TO THE BOARD OF DIRECTORS         
Results of annual general meeting                                               
Shareholders are advised that, at the annual general meeting of Group Five held 
today, all resolutions were passed by the requisite majority of shareholders.   
The special resolution for Group Five to repurchase its shares will be submitted
for registration with the Registrar of Companies in due course.                 
Changes to the board of directors                                               
As Messrs Howard Turner and Harold Banton, executive directors of Group Five,   
are due to retire this year, they have resigned from the board of directors of  
Group Five with effect from today but will remain in the employ of the company  
until 31 December 2004.                                                         
Group Five thanks both Messrs Turner and Banton for their invaluable            
contributions to the company over the years and wishes them well in their future
retirement.
