APPROVAL BY THE COMPETITION AUTHORITIES OF THE ACQUISITION OF EARLYBIRD FARM    
Further to the announcement released on SENS on 16 March 2004 and published in  
the press on 17 March 2004, the directors of Astral Foods would like to inform  
the company"s shareholders that the acquisition by Astral Operations Limited (a 
wholly-owned subsidiary of Astral Foods) of all the shares held by Afgri        
Operations Limited (a wholly-owned subsidiary of Afgri Limited) in the issued   
share capital of Earlybird Farm (Pty) Limited ("Earlybird"), comprising 50% of  
the entire issued share capital of Earlybird ("the acquisition") has been       
unconditionally approved by the Competition Authorities.  Accordingly, the      
transaction has become unconditional in accordance with its terms.
