RESULTS OF SCHEME MEETING IN RESPECT OF OFFER TO BIDCORP PLC MINORITIES         
Shareholders attention is drawn to the announcement made on 25 May 2004 which   
noted that The Independent Directors of Bidcorp plc and the board of Bidvest    
announced that they have reached agreement on the terms of a recommended        
proposal, under which Bid Services Division (UK) Limited ("BSD") (a wholly-owned
subsidiary of Bidvest) would acquire all of the Bidcorp Shares not already owned
by Bidvest at 20 pence per share in cash by way of a scheme of arrangement. Set 
out below is an announcement made by Bidcorp plc on the London Stock Exchange in
respect of the results of the scheme meeting held earlier today.

Result of the Court Meeting and EGM                                             
At the Company"s court meeting and extraordinary general meeting held earlier   
today all resolutions were duly passed including, inter alia, the approval of   
the Scheme of Arrangement ("the Scheme").                                       
The Scheme remains conditional upon sanction by the Court and the registration  
of the Final Court Order by the Registrar of Companies in England and Wales,    
which is expected to occur on 2 August 2004."
