In accordance with Section 3.59 of the JSE Securities Exchange South Africa     
Listings Requirements, notification is hereby given that David Kuper has        
resigned as Chairman and Director of Growthpoint Properties Limited with effect 
from 04 June 2004 to pursue various personal interests which might be in        
conflict with the business of Growthpoint. Mr Sam Hackner was unanimously       
elected as Chairman of the Company.
