RESULTS OF GENERAL AND ANNUAL GENERAL MEETINGS                                  
Results Of General Meeting                                                      
Shareholders are advised that, at the general meeting held at the offices of    
Afrox on Friday, 27 February 2004, the ordinary resolution ratifying and        
approving:                                                                      
*    the entering into by Afrox of the Merger and Co-operation Agreement between
     Afrox, Afrox Healthcare Limited ("Ahealth") and Business Venture           
     Investments No 790 (Proprietary) Limited, as amended and restated, on      
14 November 2003 ("the Merger Agreement"); and                             
*    the disposal by Afrox of its interest in Ahealth pursuant to the terms of  
     the Merger Agreement,                                                      
was passed by the requisite majority, 98.84% of shareholders present and        
entitled to vote, voted in favour of the resolution.                            
Results Of Annual General Meeting                                               
Shareholders are further advised that, at the annual general meeting held at the
offices of Afrox on Friday, 27 February 2004, all the resolutions contained in  
the notice of annual general meeting were passed by the requisite majority of   
Afrox shareholders present or represented by proxy. The special resolutions     
passed will be lodged with the Registrar of Companies in due course for         
registration.
