FULFILMENT OF CONDITIONS PRECEDENT                                              
1. Introduction                                                                 
   Growthpoint linked unitholders are referred to the announcements dated:      
- 26 September 2003, relating to the acquisition by Growthpoint of the Waterfall
Mall Shopping Centre; and                                                       
- 6 November 2003, relating to the acquisition by Growthpoint of Investec Bank  
Limited"s head office buildings in Sandton and Cape Town, which acquisitions    
were subject to the fulfilment of the conditions precedent as set out in the    
respective announcements referred to above ("the acquisitions").                
2. Fulfilment of conditions precedent                                           
   Investec Bank Limited is authorised to announce that all the conditions      
precedent to the acquisitions have been fulfilled, including unconditional      
approval of the acquisitions by the Competition Authorities.
