NOTICE IS HEREBY GIVEN that the following preference dividends have been        
declared for the six months to 31 August 2003, payable on Monday,

The last day on which shares will trade cum dividend will be Friday,            
5 September 2003. Shoprite Holdings Ltd preference shares will trade ex dividend
as from Monday, 8 September 2003. The record date will be Friday,               
12 September 2003.                                                              
Share certificates may not be dematerialised or rematerialised between Monday, 8
September 2003 and Friday, 12 September 2003, both days inclusive.
