Appointment of a Director                                                       
The board of directors of Howden hereby advise shareholders that Mr. Arthur B   
Mashiatshidi has been appointed as an independent non-executive director of the 
Company with effect from 31 July 2003.                                          
As previously advised, Mr CJ Ferreira resigned as an executive director from the
board at the date of the Annual General Meeting being the 12 June 2003.
