RESULTS OF GENERAL MEETING                                                      
Investec Bank Limited is authorised to announce that a general meeting of       
Growthpoint linked unitholders was held on Monday, 28 July 2003 ("the           
Growthpoint general meeting") to consider the special resolution relating to the
proposed amendment to Growthpoint"s articles of association, granting           
Growthpoint the authority to increase its number of directors ("the special     
resolution").                                                                   
The special resolution was duly passed at the Growthpoint general meeting by the
requisite majority of Growthpoint linked unitholders and has been lodged with   
the Registrar of Companies.
