Declaration of interim dividend and interest payment                            
Growthpoint linked unitholders are referred to the announcement published in  
the press on Thursday, 29 May 2003 ("the announcement") informing Growthpoint   
linked unitholders that Growthpoint and Primegro Properties Limited ("Primegro")
have entered into an agreement in terms of which Growthpoint and Primegro will  
merge their businesses with effect from 1 May 2003. It was indicated in         
paragraph 7 of the announcement that Growthpoint will declare an interim        
distribution of 22,7 cents per Growthpoint linked unit to its unitholders for   
the four-month period ended 30 April 2003.                                      
Notice is hereby given of interim dividend declaration number 32 of 0,02268  
cents and debenture interest payment number 32 of 22,67732 cents per linked unit
for the four-month income distribution period 1 January 2003 to 30 April 2003.  
The total amount payable to Growthpoint linked unitholders amounts to           
22,7 cents ("the interim distribution") per Growthpoint linked unit and will be 
paid to Growthpoint linked unitholders in accordance with the timetable set out
