Retirement of a Director                                                        
The board of directors of Howden hereby advise shareholders that Mr. C.J.       
Ferreira, Group Managing Director, who was due to retire in October 2003 has    
indicated his wish to accelerate this date. The board has agreed to release him 
from his duties from the date of the Annual General Meeting being 12 June 2003. 
Mr. Ferreira has agreed to be available to the Group to assist in any manner or 
on specific projects through the balance of his contract period.                
As a consequence, the board structure will change effective from 1 May 2003 as  
follows until permanent arrangements for succession are concluded:              
* Mr. John Feek will assume the responsibility of Acting Executive Chairman.    
* Mr. Shane Meyer is to be appointed as Acting Chief Operating Officer - Group  
(COO) and will retain his Group Financial duties.
