NAMPAK LIMITED - IMPLEMENTATION AND RESULT OF THE ODD-LOT OFFER Nampak Limited (Incorporated in the Republic of South Africa) (Registration number 1968/008070/06) Share code: NPK ISIN: ZAE 000004933 ("Nampak" or "the company") IMPLEMENTATION AND RESULT OF THE ODD-LOT OFFER Shareholders are advised that the odd-lot offer to all registered shareholders of fewer than 100 shares in Nampak and beneficial holders of fewer than 100 dematerialised shares in Nampak at the close of business on 14 February 2003 ("odd-lot holders") has been duly implemented. Result of the odd-lot offer The total number of shares made available by 5 230 odd-lot holders who elected to sell their odd-lot holdings and by those who failed to make an election were 147 313. Nampak has repurchased, in terms of a specific authority granted at the general meeting held on Wednesday, 29 January 2003, the shares at R14.54 per share (being the offer price of R13.85 per share plus a 5% premium) for a total consideration of R2 141 931.02. These shares will be cancelled, delisted and will revert back to unissued, authorised share capital. 12 918 shares were required for 207 odd-lot holders who elected to purchase sufficient additional shares to increase their odd-lot holdings to holdings of 100 shares. Nampak has issued, in terms of a specific authority granted at the general meeting held on Wednesday, 29 January 2003, the shares at R13.85 per share (being the offer price) for a total consideration of R178 914.30. As a result of the implementation of the odd-lot offer, the number of registered shareholders and beneficial holders has been reduced by 5 230 and the number of shares in issue has been reduced to 640 396 891. Odd-lot holders who hold certificated shares In respect of those odd-lot holders who hold certificated shares and elected to purchase additional shares, new share certificates will be despatched by registered post at the risk of the odd-lot holders concerned on Monday, 17 February 2003 or within five business days after surrender of their documents of title and payment of the relevant subscription price, whichever is the later. Cheques/electronic transfers in respect of the sale of odd-lot holdings will be posted/electronically transferred at the risk of the odd-lot holders concerned to odd-lot holders on Monday, 17 February 2003 or within five business days after surrender of their documents of title, whichever is the later. All odd-lot holders who elected to subscribe for additional shares or sell their odd-lot holdings or who failed to make an election and who have not submitted their documents of title to the share registrar are reminded to do so in order for their new share certificates or payments (as applicable) to be released. Odd-lot holders who hold dematerialised shares Any change in the number of shares held and amounts payable/receivable by an odd lot holder who has dematerialised his/her shares, as a result of the implementation of the odd-lot offer, will be automatically recorded and debited/credited on Monday, 17 February 2003 in the odd-lot holder`s account with the Central Securities Depository Participant or broker selected by that odd-lot holder.
