RESIGNATION OF DIRECTOR                                                         
Following his decision to step down from the position of Chief Executive of     
Standard Bank Group`s International Operations, Pieter Prinsloo will resign from
the board of Standard Bank Group on 31 December 2002.                           
Prinsloo (57) has been responsible for building the international operations for
the past 11 years and has been with the group for a total of 30 years. He will  
continue to be employed by the group advising on various international          
initiatives. Prinsloo will be succeeded as Chief Executive of Standard Bank     
Group`s International Operations by Rob Leith (40), who has been with the       
international group since 1991.
