Aspen Pharmacare Holdings Limited ("Aspen") has entered into a transaction to   
acquire Triomed (Pty) Ltd ("Triomed") for R50 million. The transaction is       
subject to the fulfillment of certain conditions and is currently under         
consideration by the Competition Commission. Triomed markets and distributes    
pharmaceuticals in the over the counter and generic market sectors in South     
Africa. Its product range complements Aspen`s existing product portfolio.       
As reported previously by Aspen, the South African Revenue Services ("SARS") had
raised a tax assessment in respect of a transaction entered into by Pharmacare  
Limited ("Pharmacare") prior to the acquisition of that company by Aspen.       
Subsequent to the publication by Aspen on 21 August 2002 of its preliminary     
financial results announcement, SARS has formally notified Aspen that the appeal
against the additional assessment referred to above has been conceded in favour 
of Pharmacare. SARS has issued a revised assessment.
