  NOTICE IS HEREBY GIVEN that the following preference dividends have been      
declared for the six months to 31 August 2002, payable on Monday, 16 September

The last day on which shares will trade cum dividend will be Friday, 6 September
2002. Shoprite Holdings Ltd preference shares will trade ex dividend as from
