CAUTIONARY ANNOUNCEMENT                                                         
Further to the cautionary announcement dated 18 June 2002 shareholders are      
advised that Nampak has completed the acquisition of Crown Cork & Seal Company`s
packaging interests in Anglophone Africa, but Zambia has been excluded from the 
transaction pending approval from the Zambian competition authorities.          
An amount of US$23,5 million has been paid to Crown Cork & Seal Company and an  
amount of US$1,5 million, reflecting consideration for Zambia and other         
retention money, has been held in escrow, for release to Crown Cork & Seal      
Company once the Zambian leg of the transaction is concluded.                   
The cautionary announcement dated 18 June 2002 is hereby withdrawn.
