Further to the announcement on the 14 May 2002, the Board of Howden Africa      
Holdings Limited confirms that David Gawler, the current chairman of Howden     
Africa Holdings Limited, retired as a director and chairman of the company      
at the conclusion of the Annual General Meeting held today.  He is succeeded    
by John Feek, a non-executive director, as chairman of Howden Africa            
Holdings Limited.
