 Standard Corporate and Merchant Bank is authorised to announce that at the     
annual general meeting of the company held on Tuesday, 21 May 2002, the         
requisite majority of Stanbic shareholders approved the special resolution      
to change the company`s name to Standard Bank Group Limited with effect from    
3 June 2002.                                                                    
 The special resolution will accordingly be registered with the Registrar of    
Companies.                                                                      
 The company`s ordinary shares listed on the JSE Securities Exchange South      
Africa ("the JSE") will have the short name "Stanbank" and the Share Code       
"SBK" and the ISIN will be changed to ZAE000038873 with effect from the         
close of business on Friday, 7 June 2002.  In respect of the Namibian Stock     
Exchange, the company`s ordinary shares will have the short name "Stanbank"     
and the Share Code "SNB" with effect from the close of business on Friday, 7    
June 2002.  The company`s preference shares listed on the JSE will have the     
short name "Stanbank6,5%P" and the Share Code "SBKP" and the ISIN will be       
changed to ZAE000038881 with effect from the close of business on Friday, 7     
June 2002.

In respect of certificated ordinary and preference                              
shareholders, if existing share certificates are                                
surrendered together with surrender forms on or                                 
before the close of business on the record date,                                
new share certificates will be mailed to such                                   
shareholders by registered post or be available                                 
for  collection from the transfer secretaries on     Tuesday, 18 June           
The effective date of the change of the statutory name of the company will      
be Monday, 3 June 2002.  Stanbic share certificates (in old name) may not be    
dematerialised or rematerialised after Friday, 31 May 2002.

published on SENS and in the press.
