FURTHER CAUTIONARY ANNOUNCEMENT

Further to the cautionary announcement dated 20 March 2002 relating to the
acquisition by Nampak of Crown Cork's packaging interests in Zimbabwe,
Zambia, Kenya, Tanzania, Nigeria and Ethiopia, shareholders are advised that
an agreement has been signed between Nampak and Crown Cork in terms of which
Nampak will acquire those interests for a purchase price of US$ 25 million.
The transaction is subject to the satisfactory completion of a due diligence
investigation and the fulfilment of certain suspensive conditions relating
to, inter alia, approval of the S A Reserve Bank and other regulatory bodies
in certain of the countries mentioned above.

Since the transaction could have an effect on Nampak's share price,

shareholders are advised to continue to exercise caution when dealing in
their shares until a further announcement is made.
