Implementation of the scheme of

arrangement in terms of section 311 of the Companies Act and
the withdrawal of the cautionary announcement

Further to the announcement dated 2 April 2002, Natchix and Astral

shareholders are advised that, after due and careful consideration of the
conditions set out by the Competition Tribunal ("the conditions"), the
scheme of arrangement in terms of section 311 of the Companies Act, No 61 of
1973, as amended, proposed by Astral between Natchix and its shareholders
will be implemented with immediate effect. The conditions will be adhered to
by Astral.

Natchix and Astral shareholders are further advised that caution is no
longer required when dealing in their respective shares.
