RESIGNATION OF DIRECTOR

The directors of Woolworths Holdings Limited regret to announce the

resignation from the board of Ian Thomson, one of its non-executive
directors, with effect from 1 April 2002.

Ian runs a consulting business in the United Kingdom and wishes to devote
more time to his business.  His association with Woolworths will continue
through a consultancy arrangement, mainly in assisting the company refine
its merchandise strategy.

Ian was Chief executive officer of Country Road Limited, Woolworths Holdings
Limited's Australian subsidiary for two and a half years and has served on
the Woolworths Holdings board for two years.

Although we are sorry to lose Ian's input at board level, we are delighted
that we will continue to access his expertise in the area of merchandise
strategy.

The board acknowledges the contribution by Ian to the affairs of the group
during his terms of office and thank him for his services.
