CAUTIONARY ANNOUNCEMENT

Shareholders are advised that Nampak has reached agreement with Crown Cork
and Seal Inc. ("Crown Cork") for the acquisition of the remaining 15%
shareholding in Crown Nampak (Pty) Limited for a price of R275 million.
Agreement in principle has also been reached with Crown Cork for Nampak to
acquire Crown Cork's packaging interests in Zimbabwe, Zambia, Kenya,

Tanzania, Nigeria and Ethiopia for a price of US$25 million, subject to the
conclusion of a satisfactory due diligence investigation and the approval of
the South African Reserve Bank.

Since the transactions could have an effect on Nampak's share price,

shareholders are advised to exercise caution when dealing in their shares
until a further announcement is made.
