Announcement

The Directors of Murray & Roberts Holdings Limited have approved a number of key changes in management structure and responsibility with immediate effect.
The former Contractors Division, which traded under the name Murray & Roberts Contractors International (MRCI), has been disbanded. The statutory entity of the same name and all constituent and associated companies will report directly into the Group Corporate Office.
Mr J S (John) Stanbury assumes additional leadership responsibility for the Group's mining and roads & earthworks contracting operations. These
operations are substantially international and major project in nature, with a high requirement for specialist capital equipment. He retains
responsibility for the Group's specialist manufacturing operations based in South Africa and Booker Tate in partnership with Mr Sean Flanagan.
Mr A J (Andre) de Nysschen assumes leadership responsibility for the Group's industrial contracting operations. These companies are primarily regional and have specialist capabilities that will be developed further into the global market. He also assumes responsibility for the Middle East and retains his role as Chief Operating Officer.
Mr K E (Keith) Smith assumes leadership responsibility for the group's investments in Zimbabwe and, in partnership with Mr. Geoff Turner, will develop a business strategy focused on the regional construction economy outside South Africa. Mr Smith retains responsibility for a number of companies in the Supplies and Services cluster.
The Board of Murray & Roberts Holdings Limited also records that, as
indicated in the Interim Report dated 28 February 2001, Mr L B Bird resigned as a director of the Company on 27 June 2001.
