NETCARE/CLINICS - ANNOUNCEMENT

Network Healthcare Holdings Limited ("Netcare") and Clinic Holdings Limited
("Clinics") advise that Mr David Alexander Jon Donald tendered his resignation
as a director, and Mr David Samuel Avnit did not offer himself for re-election
as a director.

Mr Donald and Mr Avnit were appointed to the Board of Network Healthcare
Holdings Limited and Clinic Holdings Limited to represent the interests of
Fedsure Life Assurance Limited ("Fedsure"), a major shareholder in Netcare.
Fedsure disposed of the majority of their Netcare shares on 29 December 2000
and consequently no longer require to be represented on the Boards.

During their terms in office, they made a valuable contribution to the affairs
of the Group, in particular Mr Donald as Chairperson of the Group Board Audit
Committee.  We thank them for their services.
