CHANGE TO THE BOARDS OF CAPITEC AND CAPITEC BANK (“THE
COMPANIES”)

Shareholders and noteholders are advised in accordance with
paragraphs 3.59 and 6.39 of the JSE Limited Listings and Debt
Listings Requirements that Mr NS Mashiya has resigned as chief
risk officer and executive director from the boards of the
Companies (“Boards”) and as a member of the Social, Ethics and
Sustainability Committee effective 31 March 2023 for personal
reasons.

A successor will be appointed in due course.

The Boards thanks Mr Mashiya for his valuable contribution to
the Companies over the past 7 years and wishes him well in his
future endeavours.
