NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING
MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS


SABMiller plc gives notice of the following transactions under paragraph 3.1 of the
Disclosure and Transparency Rules.

On 3 December 2012 Catherine May, a Person Discharging Managerial
Responsibility, was granted:

(1)    share options over a total of 25,000 SABMiller plc US$0.10 ordinary shares at
       an exercise price of GBP28.2750 per share, of which 1,061 share options
       were granted under the Company’s Approved Executive Share Option Plan
       2008 and 23,939 share options were granted under the Company’s Executive
       Share Option Plan 2008;

(2)    a provisionally allocated nil cost award over 12,500 ordinary shares under
       the Company's Executive Share Award Plan 2008, the release of which is
       subject to testing against the Company's three-year adjusted earnings per
       share growth; and

(3)    a provisionally allocated nil cost incremental award under the Company's
       Executive Share Award Plan 2008 over 25 shares for each £10 million of
       additional shareholder value created, defined as the amount by which the
       growth in the Company's market capitalisation plus net equity cash flows
       exceeds the median growth of a weighted peer group index, over a five year
       performance period.
