DEALINGS IN SECURITIES BY DIRECTORS OF LISTED COMPANIES
In terms of paragraph 3.63 of the Listings Requirements of the JSE Limited, we
hereby provide the following information regarding dealing in securities of
Sappi by directors of the Company and by directors of the Company`s major
subsidiary companies. Clearance for the dealings was received in terms of
Listings Requirement 3.66:

Nature of transaction : Allocation of shares and options in
terms of the Sappi Limited Share
Incentive Scheme to take cognizance
of the recent Sappi Rights Offer to
shareholders. Share Scheme
participants were allocated 6 shares
or options for every 5 shares or
options already held in the Scheme,
being in the same proportion as
rights offered to shareholders.
The additional shares and options are
linked to the existing allocations
and may only be paid for/exercised
simultaneously with the
payment/exercise of a proportionate
number of existing allocations.
